Welcome to Somedays.

These Terms of Service ("Terms") are a legal agreement between you and Vertical 40, L.L.C., a Utah limited liability company ("Vertical 40," "Somedays," "we," "us," or "our") governing your access to and use of the Somedays mobile application, https://go.livesomedays.com/, your Somedays List, the referral program, and related products, features, content, and services (collectively, "Services").

Somedays is built to help people stop putting life off. Through the Services, you can record an aspiration or goal that matters to you by creating your Somedays List, set personal target dates, participate in the referral program, discover things you want to do, create and join experiences, connect and communicate with other people, share content, and turn "someday" into something you actually live.

By creating an account, your Somedays List, participating in the referral program, or accessing livesomedays.com, you agree to these Terms and our Privacy Policy and Community Guidelines. If you don't agree, don't use the Services.

1. You must be 18 or Older

You must be at least 18 years old to create an account, a Somedays List, or use Somedays. By using the Services, you represent that: you're at least 18 years old; you have the legal capacity to enter into these Terms; you're legally permitted to use the Services; and the information you give us (including your name and email address) is accurate and truthful. We may suspend, restrict, or terminate an account if we reasonably believe the user is under 18 or otherwise ineligible to use the Services.

2. Your Account & Somedays List

You're responsible for your account and for activity conducted through it. When you start your Somedays List, you commit to recording an aspiration or goal that matters to you. You agree to provide accurate information, keep your login credentials secure, and tell us promptly if you believe your account has been accessed without authorization. You may not impersonate another person, create an account using materially false information, sell or transfer your account, or use another person's account without authorization. You can delete your account in the Services.

3. Target Dates & Someday Commitments

Your target date (whether chosen via the calendar picker, by the end of 2026, or as an open time window) is a personal milestone tool. Somedays provides encouragement, milestone tracking, and updates to help you turn your Somedays into reality.

4. Referral Program & Verified Referrals

Upon creating your list, you unlock your unique personal sharing link. Verified referrals are counted when a unique friend signs up through your link and meets verification criteria. Referral points, rankings, and unlockable rewards are subject to anti-fraud verification and compliance with our community guidelines.

5. What Somedays does

Somedays is a platform that helps people discover, create, share, join, and participate in experiences ("Somedays"). Users who create Somedays are called "Hosts". Users who join, register for, purchase access to, or participate in Somedays may be called "Participants."

6. Creating & Hosting a Someday

If you create or host a Someday, you're responsible for the experience you offer and for giving accurate information about it. You agree that: your description of the Someday will be truthful and not misleading; you have the right, qualifications, permissions, licenses, and approvals needed to offer the Someday; and you'll deliver the experience substantially as represented to Participants. Somedays may remove, restrict, cancel, or decline to publish any Someday we believe violates these Terms, our Community Guidelines, applicable law, or creates an unacceptable risk to Somedays or its users.

7. Joining & Attending Somedays

When you choose to join or attend a Someday, that's your own decision to participate. You're responsible for deciding whether an experience is right for you and whether you're able to participate safely. Some experiences carry inherent risk. You agree to use reasonable judgment and take appropriate precautions before and during any Someday.

8. Meeting & Interacting with other people

Somedays doesn't run criminal background checks or screening on any user. You're responsible for your interactions and decisions involving other users. To the fullest extent the law allows, you release Vertical 40 from any claim, liability, or demand arising out of a dispute, incident, or interaction between users. To the fullest extent the law allows, you release Vertical 40 and its officers, employees, contractors, and agents from any claim, liability, or demand arising out of a dispute, incident, or interaction between users, including between a Host and a Participant or between two Participants, whether it happens through the Services or in person. This release doesn't cover claims arising from Vertical 40's own gross negligence, willful misconduct, or a violation of law.

9. Communications & Messaging

By providing your email address, you consent to receive updates about your Somedays List, early-access notifications, and referral milestone confirmations. We may investigate reports about communications sent through the Services and may take appropriate action when permitted by law. You may opt out of non-transactional emails at any time. You may not use messaging features to harass, threaten, stalk, intimidate, deceive, spam, solicit unlawfully, or otherwise violate these Terms.

10. Community Standards

You may not use Somedays to: threaten, stalk, bully, harass, intimidate, exploit, or harm another person; engage in discrimination; promote violence or illegal activity; engage in fraud; post unlawful sexual content; violate privacy; infringe intellectual property; distribute malware; or interfere with the operation or security of the Services.

11. Your Content

You may be able to upload or share materials ("User Content"). You keep ownership of your User Content. You grant Vertical 40 a non-exclusive, worldwide, royalty-free license to use your User Content as reasonably necessary to operate, improve, secure, and provide the Services, and to promote and market the Services, including our website, social media, app store listings, and in email or other communications.

12. Somedays Intellectual Property

The Somedays apps, website, features, and content we provide are owned by or licensed to Vertical 40 and protected by applicable intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

13. Paid Somedays, Host Responsibilities, Cancellations and Refunds

Somedays may let Hosts charge Participants to join certain Somedays. The Host is responsible for providing the purchased experience. Vertical 40 acts solely as the Host's limited payment collection agent. This limited agency role doesn't make Vertical 40 the seller of the Someday, the Host's employer, or a party to the Someday itself, or act as a money transmitter. Hosts are responsible for honoring refunds required by your posted policy or Somedays' policies. We may require a Host to complete identity verification before receiving payouts, including a government issued ID, business registration information, or tax identification number, and we may hold payouts until that verification is complete. Where the law requires, Vertical 40 or our payment processor will issue applicable tax reporting forms, such as IRS Form 1099-K, to Hosts who meet the relevant reporting threshold. We may hold back a reasonable reserve from a Host's payout, delay a payout, or require a minimum account balance when we reasonably believe it's necessary to cover anticipated refunds, chargebacks, disputes, or violations of these Terms.

14. Privacy, Public Sharing Choices, and Location information

Your Someday, first name, and target date remain completely private unless you explicitly opt in by checking the public share card option. Your ZIP code is used strictly to understand community demand for in-person experiences and tour stops, and is never displayed publicly.

15. Suspension, Termination, and Service Availability

We may suspend accounts or terminate access when we reasonably believe a user has violated these Terms, created a safety risk, engaged in fraud, or harmed Somedays. Features may change, be added, removed, interrupted, or discontinued.

16. Assumption of Risk, Disclaimers, and Limitation of Liability

By choosing to create, host, join, or attend a Someday, you knowingly accept all risks of the activity, interactions, communications, and dealings with the Host and other participants. THE SERVICES ARE PROVIDED "AS IS". VERTICAL 40 WON'T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY WON'T EXCEED THE GREATER OF $100 OR AMOUNTS PAID DIRECTLY TO VERTICAL 40 IN THE 12 MONTHS BEFORE THE CLAIM. VERTICAL 40 DOESN'T VERIFY AND DOESN'T GUARANTEE THE IDENTITY, BACKGROUND, INTENTIONS, QUALIFICATIONS, CONDUCT, OR SAFETY OF ANY USER, HOST, VENDOR, VENUE, OR OTHER THIRD PARTY YOU MAY ENCOUNTER THROUGH THE SERVICES. VERTICAL 40 DOESN'T GUARANTEE THAT A SOMEDAY WILL TAKE PLACE, WILL MATCH ITS DESCRIPTION, WILL BE SAFE, OR WILL MEET YOUR EXPECTATIONS.

17. Indemnification & Dispute Resolution

You shall defend and indemnify Vertical 40 from any claim arising out of your breach of these Terms. You and Vertical 40 agree that any dispute will be resolved through binding, individual arbitration seated in Summit County, Utah, waiving the right to a jury trial or class action.
